Terms of service

1.Who we are

The Admarket platform is operated by Admarket, Inc., a company incorporated in the United States. These terms are a contract between Admarket, Inc. and every person or organisation that uses the platform.

2.Definitions

This section will define the words the rest of the terms rely on: buyer, seller, listing, booking, offer, order, proof of delivery, payout, swap, AdBroker and workspace.

Each definition will match how the word is used in the product itself, so the contract and the interface describe the same thing.

3.The marketplace

Admarket is a marketplace: sellers list advertising space, services and assets, and buyers book or enquire directly. Admarket is not the owner of any listed space and is not a party to the advertising contract between buyer and seller.

This section will set out what Admarket does do — operate the platform, hold payments, run the proof and dispute process — and what it does not.

4.Accounts and workspaces

This section will cover creating an account, keeping credentials secure, workspaces shared by a team, and member roles and permissions.

It will state that account information must be accurate and kept current, and that one person may not hold accounts to evade a suspension.

5.Listings and content

Sellers are responsible for their listings being accurate: real dimensions, honest audience figures, current photographs and a price the seller will honour.

This section will cover the review a listing passes before going live, and Admarket's right to remove listings that misdescribe the space they sell.

6.Bookings and offers

A booking forms when a buyer instant-books at the listed price or when a seller accepts a buyer's offer. From that moment both sides are committed on the dates, price and terms recorded in the order.

This section will set out when each mode is available and how the calendar is blocked once a booking forms.

7.Prices, payment and holding

Buyers pay the listed price and nothing on top of it — Admarket charges buyers no fees of any kind.

Payment is collected when the booking forms and held by the platform. It is not released to the seller until proof of delivery is approved under section 9.

This section will name the payment methods and currencies supported and the regulated payment partner that processes them.

8.Commission and payouts

Sellers pay a commission on completed bookings only. The rate is agreed with the seller when they list, is shown on every payout statement, and is deducted from the payout — it is never invoiced separately and never charged on a booking that is cancelled or refunded.

This section will cover payout timing, payout methods and what happens when a payout fails.

9.Proof of delivery and approval

Every booking ends with evidence: the seller submits the proof the format requires — dated GPS-tagged photography, transmission logs, play-out reports or tear sheets — and the buyer has seven days to review it.

Approval, or the end of the seven-day window without objection, releases the held payment. Rejection opens a dispute under section 11.

10.Cancellations and refunds

Each listing states its cancellation terms before booking, and those terms govern what portion of the held payment is returned when a buyer cancels.

This section will also cover seller cancellations, which are treated more strictly because the buyer's campaign depends on the space being available.

11.Disputes

When a buyer rejects proof, or delivery is otherwise contested, the order enters the dispute process: both sides submit evidence in the order thread and Admarket decides how the held payment is settled — released, refunded or split.

This section will set out timescales, what evidence counts, and that the decision settles the held payment without limiting either side's legal rights.

12.AdExchange swaps

A swap is two bookings, one in each direction: each side pays the other's listed price, both payments are held, and each side's payout releases when the campaign on its space is proven.

This section will apply the booking, payment, proof and dispute sections to each half of a swap independently.

13.The AdBroker programme

AdBrokers are local representatives who bring inventory onto the platform and earn a share of the seller-side commission on bookings their portfolio takes.

This section will cover broker scopes, the standard expected of broker-managed listings, and how the broker share is calculated and paid. Separate programme terms will apply to each broker agreement.

14.Asset listings

Listings of media businesses for sale are introductions only: Admarket charges no commission on an asset sale and is not a broker, adviser or party to the transaction, which the parties complete directly.

15.Acceptable use

This section will prohibit fraudulent listings, off-platform settlement of on-platform bookings, misuse of other users' data, and creative content that is unlawful in the market where it would run.

16.Intellectual property

Buyers keep the rights in their creative; sellers keep the rights in their listing content. Each grants the platform the licence needed to operate — to display listings, route creative to the counterparty and retain proof records.

17.Liability

This section will set out the limits of Admarket's liability as a marketplace operator, the responsibilities that remain with buyers and sellers as the contracting parties, and the exclusions the law does not allow us to make.

18.Suspension and termination

This section will cover when Admarket may suspend or close an account — fraud, repeated non-delivery, abuse of the dispute process — and what happens to open orders and held payments when it does.

Held funds are settled through the normal proof and dispute process even when an account is suspended.

19.Governing law

This section will state the governing law and forum for disputes about these terms, along with any mandatory consumer protections that apply in the user's own country.

20.Changes to these terms

This section will explain how changes are made and notified, and that material changes take effect only after notice — bookings already formed complete under the terms they were made on.
